1. Acceptance of Terms
By accessing or using TheraFlow ("the Service"), provided by TheraFlow LLC ("TheraFlow," "we," "us," or "our"), you agree to be bound by these Terms of Service, our Privacy Policy, our HIPAA Compliance Notice, and, where applicable, our Business Associate Agreement (collectively, the "Agreements"). If you do not agree to these terms, you may not use the Service.
2. Description of Service
TheraFlow is an AI-assisted platform that generates personalized, evidence-based therapy worksheets based on session notes provided by mental health professionals. The Service is designed as a clinical support tool and does not provide therapy, diagnoses, or treatment recommendations. All output generated by the Service is intended to supplement, not replace, the clinical judgment of the treating professional.
3. Eligibility
The Service is intended for licensed or credentialed mental health professionals, including but not limited to psychologists, licensed clinical social workers (LCSW), licensed professional counselors (LPC), licensed marriage and family therapists (LMFT), and counselors. Therapists in training or students may use the Service under appropriate clinical supervision. By using the Service, you represent that you hold a valid professional credential or are operating under qualified supervision in the mental health field.
4. Account Registration and Security
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@theraflow.ai if you suspect any unauthorized use of your account.
5. User Responsibilities
- You are solely responsible for reviewing, editing, and approving all generated worksheets before use with clients
- You maintain full clinical responsibility for the care of your clients and for any clinical decisions informed by materials generated through the Service
- You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional ethical standards in your jurisdiction
- You are responsible for obtaining any necessary consents or authorizations from your clients prior to submitting their information to the Service
- You agree to submit only the minimum necessary client information required for worksheet generation, and to avoid including unnecessary identifying information such as full names, Social Security numbers, or insurance details
- You agree not to use the Service for any unlawful, harmful, or unauthorized purpose
6. HIPAA and Protected Health Information
If you are a HIPAA Covered Entity, your use of the Service is governed by the Business Associate Agreement (BAA) presented during registration. You must accept the BAA before submitting any Protected Health Information (PHI) to the platform. The BAA outlines our respective obligations for the protection of PHI. Please review our HIPAA Compliance Notice for additional details on our security practices.
7. Intellectual Property
Worksheets and clinical materials generated through TheraFlow are licensed to you for use in your clinical practice. You may use, modify, print, and distribute generated worksheets to your clients as part of their treatment. TheraFlow retains all ownership rights in the underlying technology, platform, algorithms, templates, and software. You may not reverse-engineer, decompile, reproduce, or attempt to extract the source code of our platform or any component thereof.
8. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. TheraFlow LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to damages relating to clinical outcomes, loss of data, or interruption of service. TheraFlow is a clinical support tool and does not replace professional clinical judgment. In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Subscription and Billing
During the beta period, TheraFlow is offered free of charge. Post-beta pricing and plan details will be communicated at least thirty (30) days in advance of any charges. You may cancel your subscription at any time through your account settings or by contacting us at info@theraflow.ai. Unless otherwise required by applicable law, no refunds will be issued for partial billing periods.
10. Termination
We reserve the right to suspend or terminate your access to the Service at any time if you violate these Terms, engage in conduct that is harmful to other users or the platform, or for any reason at our reasonable discretion upon thirty (30) days' notice. You may terminate your account at any time by contacting us at info@theraflow.ai. Upon termination, the provisions of our Business Associate Agreement regarding return or destruction of PHI shall apply.
11. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration administered in San Diego County, California, in accordance with the rules of the American Arbitration Association. Each Party shall bear its own costs of arbitration.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least thirty (30) days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
